Paql User Agreement

Welcome to Paql. This User Agreement outlines the terms and conditions governing your use of our marketplace for buying and selling second-hand paddles and rackets. By accessing and using our app, you agree to comply with these terms. If you do not agree, please refrain from using our services.
1. Acceptance of Terms
By creating an account or using our services, you confirm that you are at least 18 years old or have the consent of a parent or guardian. You agree to comply with all applicable laws and regulations.
2. Account Registration
You must create an account to use certain features of our app.
You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account.
Notify us immediately of any unauthorized use of your account.
3. Marketplace Conduct
Users must provide accurate and honest information when listing items for sale.
You are responsible for the items you sell, including their description and condition.
All transactions must be conducted through our platform to ensure Buyer and Seller Protection.
4. Prohibited Activities
You agree not to engage in any of the following prohibited activities:
- Listing counterfeit or fraudulent items.
- Manipulating prices or engaging in deceptive practices.
- Harassing, threatening, or defaming other users.
- Using automated systems or software to scrape data from the app.
5. Marketplace Risk
Paql is a marketplace and technology platform and is not involved in any transaction between buyers and sellers, does not obtain title to any purchased items and does not act as buyer, seller (or affiliate for a buyer or seller) or broker with respect to any such transactions.
There are risks that you assume when dealing with other users (including those who may be acting under false pretenses). You agree that all of these risks are borne by you, and not Paql. We encourage you to use the various functionalities of the service (e.g. direct messaging platform) to help evaluate the user with whom you are dealing with.
Paql does not control the behavior of users of the service, or the information or user content provided by other users. As a result, Paql does not guarantee or endorse the authenticity, quality, safety, or legality of any items offered or sold, the truth or accuracy of any listings, or the ability of sellers to sell items or of buyers to buy items. We cannot assure that all transactions will be completed. Additionally, Paql does not guarantee the ability or intent of users to fulfill their obligations in any transactions. Paql reserves the right to delay the completion of any transaction for a reasonable period of time for purposes of fraud detection and otherwise protecting Paql and its users from illegal or wrongful activities or other violations of these terms.
FOR EVERY TRANSACTION THAT IS COMMENCED THROUGH THE SERVICE, YOU MUST MAKE YOUR OWN INDEPENDENT DETERMINATION REGARDING THE STATEMENTS, PRODUCT DESCRIPTIONS OR REPRESENTATIONS OF THE OTHER PART AND THE PARTY’S ABILITY TO PAY FOR OR DELIVER THE ITEM(S) OFFERED. PLEASE USE CAUTION WHEN DEALING WITH OTHER USERS OR OTHERWISE USING THE SERVICE.
6. Transactions
Seller Responsibility: Sellers must have the right to sell the items that are listed for sale through Paql. Sellers must describe the item and all terms of sale in the listing truthfully, accurately, and completely.
Buyer Responsibility: Buyers are responsible for reading the full item listing before purchasing or making an offer. When buyer makes an offer and the offer is accepted by the seller, you have a contract with the seller.
Purchases:
- Paql operates on a first-come, first-served basis, the buyer who proceeds to checkout and pays for a unique item first will be the one to receive it, regardless of who added it to their cart first.
- Buyers may send an offer to purchase items from sellers.
- Once an offer is accepted by Seller, the sale transaction is binding on both seller and buyer, and no returns, refunds, or retractions are allowed, except as permitted by the terms outlined in Paql’s User Agreement, and Purchase Protection Policy.
- Buyer must pay the purchase price and shipping costs for the item through Paql. After doing so, buyers obligations are complete, unless buyer requests a permitted return through a dispute.
- After buyer pays the amounts with respect to a sale by a seller, Paql will provide seller with a prepaid shipping label, generated to the portfolio page on the sellers account. Once the label is provided to the seller, Paql’s obligations for that sale are complete. The seller has 7 days from the time buyer confirmed purchase to print Paql’s provided shipping label.
- Once the prepaid shipping label is generated, Paql will credit the sellers account with an amount equal to the purchase price received from the buyer (less any applicable tax), minus Paql’s commission, as outlined in transactions fee section.
- Once the prepaid shipping label is generated, the seller is obligated to ship the item within 3 days of shipping label generation, or the order is automatically cancelled.
When using a label provided by Paql:
- Seller may only use the label to ship the applicable item
- Labels may not be transferred or sold to a third party
- Seller is fully responsible for the content of any parcels shipped using the label
- Seller must comply with the terms and conditions and any other policies or rules imposed by the carrier used to ship the items. If an item is lost or damaged in transit using a Paql prepaid shipping label, Paql is not responsible for compensating sellers when funds for an insurance claim are not rewarded.
- As a buyer, if an item shipped with a label is lost, damaged, or is the wrong item, Paql has no obligation to you. Refer to our Purchase Protection Policy as well as the Non-Delivery of Items section within this User Agreement.
- Seller Cashout: Sellers will be able to cashout their earnings within Paql once the order is completed.
- If an item within an order has been disputed by buyer and is not closed yet, the seller is not able to cashout their earnings for the full order until the order is completed.
7. Payments
Buyers may pay for items using credit cards or other payment methods offered by Paql. If you submit your payment information through the service, then you authorize Paql to store that payment information and charge your payment method for any item you purchase.
8. Transaction Fees
Overview: Registering to Paql is free; however, Paql charges transaction fees to sellers for each successful sale completed through the platform. These fees help maintain and support the operation of our marketplace.
Fee Structure:
- Listing items on Paql has no charge.
- The transaction fee is 10% of the item sale price.
- The specific percentage is subject to change with prior notice to users.
Non-Refundable Fees:
Transaction fees are non-refundable in the following scenarios:
- Transaction is reversed due to a return
- Cancellation due to sellers’ failure of shipping item after print of shipping label.
- If an order is canceled before the seller generates the prepaid shipping label, no transaction fee will be deducted since Paql has not credited the sellers account at this point with the purchase price.
Seller Account Statements:
- Sellers will receive regular account statements detailing their earnings, transaction fees, and any applicable deductions.
Taxes:
- Items purchased by and shipped to Buyers in locations in the U.S. may be subject to applicable state or local sales or use tax, privilege tax, or similar transaction-based taxes (“State Tax”).
- The amount of tax is based on a number of factors, including but not limited to the buyers designated delivery address, and/or the location of the seller and the items sold on the mobile app and website.
- The rate of tax applied to purchases of taxable items is a combined rate based on the state and local rates of the address where the items are delivered to.
- Tax and shipping costs are not included in the listed price for any items listed by sellers through the service but will be displayed at checkout to buyers before confirmation of any purchase.
- Paql will collect taxes from buyers on behalf of sellers where we are legally obligated to do so including those states that have enacted legislation requiring marketplaces, like Paql, to collect taxes on behalf of sellers or in lieu of collection by sellers. In these states, the amount of taxes collected will be submitted by Paql to the appropriate taxing authority. In those states where Paql does not collect taxes on behalf of sellers, sellers are responsible for collecting and submitting any taxes to the appropriate taxing authority in accordance with relevant state or local laws.
Responsibilities:
- Buyers are responsible for paying the applicable purchase price for a purchased item to the seller, as well as any shipping costs and payable applicable taxes and/or duties associated with the purchase and sale of any items through the Paql service.
- Sellers are responsible for paying Paql’s commission as well as all taxes imposed or measured by sellers net income, profits, and/or revenues associated with the sale of any items through the Paql service.
9. Dispute Resolution
In the event of a dispute between users, we encourage direct buyer and seller communication.
Approved Disputes: See Returns and Cancellation section of this User Agreement for scenarios for approved disputes by the seller.
Unresolved Disputes: If unresolved, the buyer/seller may contact Paql directly. Evidence must be provided to Paql to prove that the disputed item is worthy of a refund in accordance with our Purchase Protection Policy. Paql will act as a neutral facilitator but does not directly issue refunds; refund eligibility and outcomes will be determined by the seller or based on the criteria defined in the Purchase Protection Policy. Once there is resolution, Paql will contact the buyer to close the dispute.
10. Returns and Cancellations
All return, refund, and cancellation requests are evaluated under the terms of our Purchase Protection Policy. Buyer and seller agreements, or the evidence provided, must meet the criteria defined therein.
Return Policy: Buyers may return items in accordance with our Purchase Protection Policy. Disputes for returns must be initiated within 3 days of receiving the item and must be in their original condition unless damaged during shipping to be eligible for a return. After 3 days, the transaction of the item is considered completed and no disputes for returns can be initiated.
Return/Partial Refund Initiation: To initiate a return or partial refund, buyers must file a dispute for the item(s) via the app.
Approved Return Process: If a return is approved by the seller, the seller will provide a return shipping label. The buyer must use this label to return the item. Once the seller receives the returned item (delivered status), the buyer will receive a full refund, as agreed upon by both the seller and buyer. Refunds will be processed to the original payment method within 5-7 business days.
Return Shipping Costs: Sellers are responsible for paying for the return shipping label generated by Paql for items returned under our Purchase Protection Policy. This cost will be deducted from the seller’s earnings for the transaction.
Partial Refund: To initiate a partial refund, the seller will send a partial refund amount to the buyer. The buyer will then have the choice to approve or decline the partial refund amount.
Approved Partial Refund Process: If the buyer accepts the seller partial refund offer, the buyer will receive the partial refund amount as agreed upon by both the seller and buyer. The buyer does not need to ship the item back to the seller. Partial refunds will be processed to the original payment method within 5-7 business days.
Declined Partial Refund Process: If the buyer declines the sellers partial refund offer, the dispute is left open until resolved. Multiple partial refund offer can be sent by the seller.
Transaction Fees: Paql will retain its transaction fee from the original sale in an event of a return. This fee is non-refundable, and the seller is responsible for the full refund to the buyer. The seller would incur the cost of the transaction fee charged to their connected bank account.
Cancellation of Orders: Cancellation of orders are as follows:
- Sellers may cancel an order only before any of the item(s) prepaid shipping label has been created. The seller cannot cancel the order when the prepaid shipping labels have been generated.
- Buyers may cancel an order any time before a seller generates an item’s prepaid shipping label. Once the prepaid shipping labels are generated for the items within an order, cancellations of orders are not allowed by the buyer.
Cancellation of Items: Cancellation of individual items within an order are as follows:
- Sellers may cancel an item only before the prepaid shipping label has been created.
- After the order submission by the buyer, the seller has 7 days to generate the items prepaid shipping label. If the items prepaid shipping label has not been generated by the seller within 7 days of the order being placed, the item will be automatically cancelled.
- Buyers may cancel an item any time before a seller generates a prepaid shipping label for an item. Once a prepaid shipping label is generated for an item, cancellations of individual items within an order are not allowed by the buyer.
- After seller generates the items prepaid shipping label, the seller has 5 days to ship the item. If the seller generates the prepaid shipping label but does not ship the item within 5 days of generating the prepaid shipping label, the item will automatically be canceled and the buyer receives a full refund for the item(s). The seller would incur the cost of the transaction fee charged to their connected bank account.
- Item Condition and Return Acceptance: Sellers must accept returns for items deemed not as described or damaged upon arrival in accordance with our Purchase Protection Policy.
11. Non-Delivery of Items
Reporting Non-Delivery:
- If a buyer has not received an item within the estimated time frame, and the tracking information states that the package is still in transit, the buyer is encouraged to notify the seller through the app via messaging for an update. If a seller does not respond, buyers may escalate the issue and contact Paql directly.
- If tracking information confirms delivery to the buyer’s provided address, Paql considers the transaction complete. Buyers may still contact the seller for resolution or submit a dispute, but unless fraud or an address error is proven, refunds will not be granted. Buyers should contact the shipping carrier for further assistance.
Responsibilities:
- Buyers are encouraged to track their shipments and verify the delivery status through the provided tracking information.
- Upon receiving a dispute for a non-delivery, the seller must respond promptly and provide any available tracking information or proof of shipment.
Investigation Process:
- The platform will review the evidence provided by both the buyer and the seller to determine the outcome. This may include tracking information, shipment confirmation, and communication records through Paql’s messaging feature.
Outcome Determination:
- If it is determined that the item was not delivered, the buyer may be eligible for a full refund, which will be processed through the original payment method.
- If the item is confirmed as delivered on the item(s) tracking information, the seller retains the right to keep the payment, and the buyer may not receive a refund.
12. Purchase Protection
Refer to our Purchase Protection Policy covering disputes, returns, and protection for issues like non-delivery or not as advertised items.
13. Intellectual Property
All content, features, and functionality within the app, including text, graphics, logos, and software, are the exclusive property of Paql or its licensors. You may not use, reproduce, or distribute any content without our prior written consent.
14. Limitation of Liability
Paql is not responsible for any damages or losses resulting from your use of the app, including but not limited to lost profits, data loss, or any indirect, incidental, or consequential damages.
15. Modifications to the Agreement
We reserve the right to update or modify this User Agreement at any time. Any changes will be effective upon posting in the app. Your continued use of the app after changes are made constitutes your acceptance of the new terms.
16. Termination
We reserve the right to suspend or terminate your account and access to our services at our discretion, without prior notice, for violations of this agreement or any conduct detrimental to Paql.
17. Governing Law
This User Agreement shall be governed by and construed in accordance with the laws of the State of South Dakota, without regard to its conflict of law principles.
18. Compliance with Policies
All users agree to comply with the additional terms outlined in our Purchase Protection Policy and any other related policies provided by Paql. Violations of these policies may result in account suspension or termination.
